Welcome to Standing, operated by Goalday Inc., doing business as Standing. By accessing or using readyroom.vc, hq.readyroom.vc, or any related service (the "Service"), you agree to these Terms of Service.
You must be at least 18 years old to use Standing. If you use Standing on behalf of an organization, you confirm you have authority to bind that organization to these Terms.
You sign in with LinkedIn or by email one-time code. You are responsible for activity under your account. Notify us if you suspect unauthorized use.
The document scan is available without an account, within posted limits. Scan uploads and their results are deleted after 7 days unless you create an account and claim them. Scan output is informational — it tells you which documents we could and couldn't identify, and is not legal advice.
You retain ownership of the documents, cap-table data, and other content you upload. You grant Standing a non-exclusive license to host, process, and analyze that content so we can operate the Service for you. We do not share your documents with other customers.
You agree not to upload content that is unlawful, infringing, or that you do not have the right to share.
Paid plans are billed in advance and renew automatically until cancelled. Cancellations take effect at the end of the current billing period. Refunds are at our discretion. Plans differ by feature (for example, cap-table reconciliation and reports require the Tied Out plan); switching plans takes effect immediately with prorated billing.
Investor-facing features — discovery, verified profiles, and diligence snapshots — are not yet live. When they launch, they will be governed by additional terms. Two principles are fixed in advance: any disclosure of your data to an investor happens only with your explicit, per-request consent; and Standing verifies the consistency of data against documents — it does not evaluate the merits of any company or investment, and is not a broker-dealer or investment adviser.
We may suspend or terminate your access if you violate these Terms. You may stop using Standing at any time — export and account deletion are self-serve under Settings → Data & privacy, and deletion is immediate and final.
The Service is provided "as is" without warranties of any kind. Cap-table reconstructions, document classifications, and other outputs are derived from the documents you provide and are not legal advice. Always review with qualified counsel before relying on the output for a transaction.
To the maximum extent permitted by law, Standing's total liability for any claim is limited to the amount you paid us in the twelve months preceding the claim.
We may update these Terms. Material changes will be announced via the Service or by email. Continued use after changes means you accept the new Terms.
